Terms of Service

1. Scope of Services
Miyoit designs, engineers, and deploys custom software, SaaS systems, mobile applications, and AI integrations. Engagements are governed by individual Statements of Work (SOW) detailing precise milestones, requirements schemas, and fee structures.
2. Intellectual Property & Code Ownership
Upon complete receipt of contractually agreed payments, all custom software source code, assets, database schemas, and intellectual property developed exclusively for the client are fully transferred. Miyoit retains rights to pre-existing libraries, general boilerplates, and open-source contributions.
3. Payment & Scoping Parameters
Billing timelines, deposit requirements, and scoping limits are defined in each engagement's SOW. Any additional features, database migrations, or scaling requests beyond the original scoping specifications require written amendments and may adjust project timelines.
4. Warranties & SLA Commitments
We commit to delivering production-grade code that satisfies all agreed engineering milestones. Post-deployment technical support is governed by Service Level Agreements (SLAs), including our under 4-hour critical issue response commitment.
5. Limitation of Liability
In no event shall Miyoit be liable for any indirect, incidental, or consequential damages (including loss of profits, data, or system downtime) arising out of or related to our developed systems. Total liability is capped at the amount paid by the client under the active SOW.
6. Governing Law
These terms and all operational engagements are governed by and construed in accordance with the laws of the jurisdiction in which Miyoit operates, without regard to conflict of law principles.
